The Challenge
A group of Mexican and American entrepreneurs wanted to establish a restaurant chain in the Riviera Nayarit. They needed a corporate structure that would allow foreign partner participation, optimize the tax burden, and protect each branch’s assets independently.
The Solution
We designed a holding structure with a controlling SA de CV company and independent subsidiaries for each location. This allowed risk separation, facilitated new investor entry per branch, and optimized the tax scheme for both partner profiles (Mexican and foreign).
The Result
The corporate structure enabled the group to open 3 locations in their first year with investment from both Mexican and American partners, maintaining clarity in share participation and asset protection for each business unit.
